What is a rolling close and how does it work with beel?

Bring on investors one by one as soon as they are ready, without waiting for the last investor in a round.

In a rolling close, you close investments one by one as soon as an investor is ready, instead of closing all investors together on a single date. With beel, this works through profit participation rights: each investor receives their own private offer, and there is no notary appointment per investment.

How does a rolling close work with beel?

  1. One shareholder resolution: All shareholders approve the issuance of profit participation rights once and set the maximum number for the next five years (more on the shareholder resolution).
  2. One private offer per investor: You set the investment amount or range, the price per profit participation right and how long the offer is valid (How do I create a private offer?).
  3. Sign and transfer: The investor signs digitally and transfers the amount. Once the money has arrived, you confirm receipt and the profit participation rights are issued. You stay in full control.
  4. Next investor: For each further investor, you create a new offer, at any time and without waiting for other investors.

What does a rolling close give you?

  • No waiting for the last investor: Every euro goes directly to the company's account. There is no minimum amount and no all-or-nothing principle (Is there a minimum amount?).
  • Terms per offer: You set the price per profit participation right for each offer, so you can adjust the valuation over time.
  • No notary per investment: There is no notary appointment and no commercial register entry per investment. Closing takes days rather than weeks.

What should you keep in mind?

  • Private fundraise rules: If you raise more than €12 million within twelve months, you may send no more than 149 offers. You may not communicate specific terms publicly (What rules apply to a private fundraise?).
  • Maximum number in the shareholder resolution: You can issue as many profit participation rights as the resolution allows. If the number is not enough, you pass a new resolution.
  • Professional package: Profit participation rights are available in the Professional package.
