How do I create a private offer?

Create, configure and send private offers to investors in a legally compliant way.

A private offer can be created on the platform in several ways: via the "+New" button in the top left and then "Private Offer", or via the Fundraise Dashboard using the "+New" button in the top right.

Particularly convenient: Leads collected through the Invest Now button or entered manually can be converted directly into a private offer — existing information is automatically carried over. This is done via the action menu (three dots) in the respective lead row.

Configuring the offer

When creating a new private offer, an input form opens where the offer can be personalized:

  • Payment method: Bank transfer with the appropriate IBAN.
  • Investment amount: Fixed amount or investment range from which the investor can choose.
  • Price per virtual share: Based on the company valuation. The company valuation and the number of virtual shares are automatically calculated from the investment amount and price per share, and displayed to the investor. Tip: The company valuation can also be set manually in the company profile. More on how to calculate the price per share here
  • Offer validity: Once expired, the link is no longer accessible.
  • Investor name
  • Investor email (optional)
  • KYC: Can be enabled or disabled. Only disable when the identity is known with certainty (e.g. friends, family, employees).
  • Investor side letter: Individual cover letter — a template is available on the platform. More information here
  • Minimum holding period: Lock-up period during which the virtual shares cannot be traded or transferred. The put option remains unaffected.

Sharing and completing the offer

After configuration, you receive a link to the offer that you simply share with the investor. The investor views the offer and completes a legally compliant subscription process. If the offer contains an error, it can be cancelled via the dashboard.

The offer appears in the Fundraise Dashboard under Leads with the status "Pending for Investor". Once the investor has completed the subscription process, you are automatically notified by email. The status then changes to "Offer needs confirmation".

The final decision always rests with the founder: You verify that the investment amount has been received in your account and confirm the offer. Only then are the virtual shares created and transferred to the investor's account.

Document management

The investment and all associated documents are stored for both the founder and the investor, and can be managed digitally via the dashboard at any time. Access is always free for investors and employees. Founders also retain access to the dashboard and can continue to manage their investments even without an active subscription. Only the completion of new investments is no longer possible in that case.
